1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Shilpakar Tech LLP ("YogDesk," "we," "us," or "our") governing your access to and use of the YogDesk platform, including our website, applications, and services (collectively, the "Service").

By accessing or using YogDesk, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

YogDesk is a business management platform designed for yoga teachers and studio owners in India. Our Service includes:

  • Student management and attendance tracking
  • Package and subscription management
  • Payment tracking and reminders
  • WhatsApp Business integration for automated messaging
  • Business analytics and reporting

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use YogDesk. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Responsibility

You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

4. Subscription and Payment

4.1 Subscription Plans

YogDesk offers various subscription plans as described on our pricing page. Features and pricing may vary by plan and are subject to change with notice.

4.2 Free Trial

We may offer a free trial period. At the end of the trial, you will be required to subscribe to continue using the Service.

4.3 Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are quoted in Indian Rupees (INR) and are inclusive of applicable taxes
  • You authorize us to charge your designated payment method for all fees
  • Failed payments may result in suspension of your account

4.4 WhatsApp Message Credits

WhatsApp messaging may be subject to additional charges based on usage. Message credit packages and pricing are available on our platform. Unused credits do not roll over and are non-refundable.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any laws
  • Send spam, unsolicited messages, or marketing communications without consent
  • Violate WhatsApp's Business Policy or Terms of Service
  • Impersonate any person or entity
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated systems to access the Service without permission
  • Collect or harvest user data without authorization
  • Upload malicious code or content
  • Resell or redistribute the Service without authorization

6. WhatsApp Integration

6.1 Third-Party Service

Our WhatsApp integration uses Meta's WhatsApp Business API. Your use of this feature is also subject to Meta's terms and policies.

6.2 Message Compliance

You are responsible for:

  • Obtaining proper consent from recipients before sending messages
  • Ensuring message content complies with applicable laws and WhatsApp policies
  • Not sending promotional messages outside permitted categories
  • Respecting opt-out requests from recipients

6.3 Account Suspension

Violation of WhatsApp's policies may result in suspension of your WhatsApp integration, for which YogDesk bears no responsibility.

7. Data and Content

7.1 Your Data

You retain ownership of all data you input into YogDesk, including student information, attendance records, and business data. You grant us a limited license to use this data solely to provide the Service.

7.2 Data Accuracy

You are responsible for the accuracy and legality of data you enter. You must have proper consent to store and process personal information of your students.

7.3 Data Backup

While we implement measures to protect your data, we recommend maintaining your own backups. We are not liable for data loss.

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Shilpakar Tech LLP and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability or fitness for a particular purpose
  • Uninterrupted or error-free operation
  • Accuracy or reliability of any information
  • Security of data transmitted through the Service

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOGDESK AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Any damages arising from WhatsApp account suspension or restrictions
  • Third-party actions or services

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless YogDesk and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

12.1 By You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

12.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activity
  • Abuse the Service or other users

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable period following termination.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and YogDesk.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
